1. About CoMinded and these Terms
CoMinded LLC is a limited liability company registered and operating in Arizona. We provide the community branded CoMinded, also styled Co.Minded and Company Minded (“CoMinded,” “we,” “us,” or “our”), which helps entrepreneurs meet nearby peers through monthly groups, meetups, member-hosted events, a community feed, and messaging. These Terms & Conditions (“Terms”) describe the rules for our website at companyminded.com, mobile app, membership, and related services (together, the “Services”). “You” means the individual using the Services. The contracting business is CoMinded LLC, and our contact email is [email protected].
These Terms govern your agreement with CoMinded LLC when presented to you and affirmatively accepted. A paid subscription also requires acceptance of its checkout disclosures. Simply reading this page does not purchase a membership or record agreement.
Your accepted order or checkout disclosures control the specific price, trial, renewal date, and promotional conditions of that purchase if they differ from a general description here. Additional feature-specific conditions apply only when clearly presented and accepted where required. Our Privacy Policy separately explains our data practices; these Terms do not replace any separate privacy permission or payment authorization required by law.
2. Eligibility, applications, and approval
The Services are for adults aged 18 or older who can enter a binding agreement and are seeking a legitimate entrepreneurial or business community. Applications must meet the age, geographic availability, and other eligibility requirements disclosed in the application. Approval and available memberships may depend on community capacity and fit. Applying does not guarantee approval, a particular review time, or a place in a group.
Provide accurate information about your identity, age, location, business, income range, and networking interests, and keep material information current. Do not apply using another person’s identity, fabricate a business or income range to influence matching or pricing, or create replacement accounts to evade a restriction. If you provide company information, you must have permission to share it; having a business profile does not, by itself, make your employer or company a party to your personal membership.
An approval, profile, badge, business link, match, or connection is not a background check, financial verification, professional credential, or endorsement. Information supplied by members can be inaccurate or incomplete. You remain responsible for appropriate diligence before relying on another member or entering a business relationship.
3. Your account and security
Your account is personal to you. Keep your password and activation links confidential, use a password you do not reuse elsewhere, and do not sell, transfer, rent, or share account access. Do not give another person your password, payment credentials, or password-reset code, including through a support ticket or chat. Notify us promptly if you believe someone has accessed your account without permission.
You are responsible for your own activity and for activity you authorize. This does not make you automatically responsible for every unauthorized transaction or remove rights you have under payment or consumer-protection law. We may require reasonable identity or account-ownership checks before disclosing records, changing sensitive information, or acting on certain requests.
Keep a reachable email address on your account. Account recovery, payment notices, and service communications may depend on it. We may restrict access temporarily where reasonably necessary to investigate compromised credentials, protect members, or meet a legal obligation. Contact support if an account restriction or ownership decision appears incorrect.
4. What membership provides
An approved account can access the available free features, including the Feed and Account areas. An eligible paid or trial membership unlocks the membership features offered to you, including monthly meetup groups, local member-hosted events, and messaging. A free account is not automatically enrolled in a paid subscription, and submitting an application does not authorize a charge.
Membership provides access to networking tools and opportunities, not a purchased number of introductions, guaranteed event attendance, a verified income cohort, or a guaranteed personal or business result. Local availability depends on eligible members, capacity, participation, and scheduling. Members organize and attend activities themselves. Venue charges, food, transport, event admission, and other third-party expenses are not included unless a specific offer expressly says otherwise.
Features and availability may develop as the community grows. We may make reasonable changes for safety, reliability, legal compliance, or product improvement. A material reduction affecting an already-paid service must be handled with appropriate notice and any remedy required by applicable law; this section is not permission to disregard the membership you purchased.
5. Matching and community recommendations
Matching considers factors such as approximate ZIP-based proximity, income range, age, interests, and business or industry tags, together with eligibility, available capacity, block relationships, and vacation mode. Location is an approximate area-level estimate, not a live location, verified address, travel time, or promise that another person lives a particular distance away.
Monthly groups are generally intended to be small circles of entrepreneurs. If you join after a matching run, eligible groups may be offered for direct joining. A suitable open group may not be available. Group members can close or reopen their group to late joiners; an open listing does not reserve a seat until your joining request succeeds. Existing memberships and plans are not automatically replaced by later profile edits.
If no suitable group is available, your membership remains active and continues to provide its other available benefits, including events and messaging. Apart from the qualifying trial extension, the refund policy in Section 11, or a remedy required by law, lack of a group does not automatically pause billing or entitle you to a refund. You may request individual review or cancel future renewal.
Match scores and profile explanations help compare recommendations. Displayed scores may use an adjusted presentation scale rather than raw compatibility percentages. They are not scientific predictions, income verification, or a probability that you will become friends, make money, or attend together. Your private income field is not intended to be shown to other members as a match explanation. Anything you voluntarily disclose in posts, messages, or conversation can nevertheless reveal that information.
6. Prices, checkout, and payment authorization
Your membership rate is determined by the income range associated with your account and the offer presented at checkout. The exact recurring amount, amount due immediately, currency, first payment date, and applicable trial conditions must be disclosed before you agree to pay. Prices are in U.S. dollars unless an offer expressly states otherwise. Any applicable taxes or additional charges collected at checkout must be shown there.
Payments currently use Stripe and its supported payment methods through our secure billing experience. Provide a payment method you are authorized to use and keep its information current. By expressly accepting a recurring membership at checkout, you authorize the disclosed initial charge and subsequent recurring charges under that offer until the subscription is canceled. This authorization does not permit unrelated purchases or undisclosed price increases.
Payment providers and financial institutions may require authentication, decline a payment, or display a temporary authorization. A temporary authorization is not necessarily a settled membership payment. Refer to the completed checkout, invoice, and membership records for the transaction status, and contact support if a charge or activation appears incorrect. Never send full card details through our help form or community messages.
7. Monthly renewals and partial months
Membership subscriptions renew automatically on the first day of each calendar month using the billing system’s UTC schedule, unless the accepted offer specifies otherwise or the subscription ends before renewal. A UTC renewal can fall on the prior local calendar day in parts of the United States. Follow the renewal information shown in your membership and billing records rather than assuming midnight in your local timezone.
When no free trial applies, joining partway through a month can result in a prorated charge for the remainder of that billing month, followed by the full monthly rate at the next renewal. The exact amount due is the amount you approve at checkout; it is not necessarily a rounded number of local calendar days multiplied by a daily rate.
A failed payment may be retried under the payment provider’s collection process, and paid-feature access may be limited while payment remains unresolved. A failed attempt does not necessarily cancel the subscription or eliminate an amount lawfully owed. We will not treat a payment failure as consent to a different plan. Contact us about billing errors and use the cancellation control if you do not wish to renew.
8. Free trials and the additional free month
Trials are available only when enabled and offered to an eligible account. They are not an entitlement for every application, returning member, or new account. When the calendar-month trial is offered, the remainder of the calendar month in which you start the membership is free. This is not necessarily a 30-day trial: a September 15 start normally has its first paid renewal on October 1, subject to the extension described below.
If your accepted trial includes the unmatched-member extension, you receive one additional free calendar month when there is no qualifying group assignment or joining record for your signup month by the month-end billing boundary. In the September example, the first payment would then move to November 1. The additional free month applies once; it does not continue indefinitely if a group remains unavailable.
This extension is based on the recorded group assignment or joining status, not proof that you physically attended a meetup. Being assigned to or joining a group can make you ineligible for the extension even if you later miss its meetup. If the assignment record or trial decision is incorrect, contact support for review.
A trial may require a valid payment method and your authorization for the disclosed future renewals. Unless canceled before the applicable paid renewal, it converts to the recurring paid membership you accepted. The offer and billing records identify the relevant dates. Creating another account or misrepresenting participation to obtain repeated trials is prohibited.
9. Income updates and membership price changes
You can update your income range through Account → My Info. If an ongoing supported subscription would move to a different rate, the app presents the current rate, proposed rate, difference, and effective renewal date for your approval before saving that price-changing income update. Declining leaves the previous saved income range and rate unchanged. A change within the same price tier does not require a different subscription amount.
When you approve a supported rate change, the new recurring rate is recorded for the next applicable renewal. It does not produce an additional charge or prorated credit for the current billing period. An existing trial or qualifying free-month extension can delay the actual payment at the new rate. The corrected income can affect future recommendations immediately; existing groups are not automatically reassigned.
Some subscription states, such as payment problems or a pending cancellation, may require resolution before a price-changing income update can be completed. If a save times out after approval, check your membership status or contact support: an authorized change may still finish processing. We must obtain any required notice and consent for other price changes and will not rely on a profile edit, an administrator’s edit, or a change to this webpage alone to authorize an undisclosed new charge.
10. Canceling or managing a membership
For a subscription purchased through the current Stripe flow, open Account → Membership to manage your payment information and cancel renewal. A successfully scheduled cancellation generally takes effect at the end of the current billing or trial period, with eligible access continuing until the displayed end date. Review the confirmation and effective date to ensure the request succeeded. If the control is unavailable or a cancellation does not complete, contact support promptly.
Cancel before the applicable renewal to prevent the next scheduled charge. Uninstalling the app, logging out, turning off notifications, declining a meetup, or enabling vacation mode does not cancel a subscription. Deleting a profile and canceling a subscription are different operations; a deletion request should also identify an active subscription so billing can be addressed.
A cancellation does not itself issue a refund for an amount already paid. Any refund request is handled under the next section and applicable law. Once paid access ends, you may lose access to member-only conversations, events, and meetup features and will no longer be eligible for new paid-member matching unless you obtain eligible access again. Cancellation does not automatically erase messages, shared content, or records that must be retained.
11. Refunds, billing mistakes, and consumer rights
CoMinded offers subscribed members a seven-day window to submit a refund request through Account → Help or by emailing [email protected].
After the seven-day window, you may still submit a refund request. The CoMinded team reviews these requests individually and may approve or decline a voluntary refund in its discretion, taking account of the circumstances. A refund outside the window is not guaranteed. This discretion does not override an applicable legal right or a specific refund promise made when you purchased.
Identify your account email, relevant charge date, and reason for the request. Do not include full card details. A team member will respond within 48 hours of receiving a Help submission or email. This is an initial response commitment, not a guarantee that a refund decision, investigation, or return of funds will be completed within 48 hours. Payment-provider processing times can vary. Submitting a request does not itself cancel future renewals; use Account → Membership if you also want to cancel, and tell the team if you cannot access that control.
If a billing mistake is confirmed, the appropriate correction will be made. Contacting support does not waive a right to dispute an unauthorized charge with your payment provider. The same payment cannot be refunded twice, and any refund already issued will be considered when resolving a related payment dispute.
Nothing in these Terms excludes a mandatory refund, cancellation, withdrawal, warranty, or other consumer right that applies to you. A member’s business interests do not automatically remove protections available to an individual consumer. An event organizer’s separate refund conditions cannot override any refund obligation that CoMinded itself has under applicable law.
12. Meetup planning, participation, and vacation mode
Group members are responsible for agreeing on a place, date, and time, checking the displayed timezone, confirming attendance when appropriate, and communicating changes or an inability to attend. An RSVP or confirmation records an intention; it is not verified physical attendance. Calendar exports, notifications, and previously viewed plans can become out of date, so check the current plan before traveling.
Vacation mode removes you from eligibility for new monthly group assignments while enabled. It does not itself cancel an existing group plan, remove past content, or pause subscription charges. Tell your existing group if your availability changes, and cancel your paid subscription separately if you do not wish to renew.
Participation automation may enable vacation mode when a scheduled meetup has passed by approximately two days and your attendance confirmation was not recorded. The resulting prompt lets you confirm availability for the next month, indicate that you attended and the inference was mistaken, or remain on vacation mode. This is an account participation inference, not physical tracking or a determination that you intentionally failed to attend. Contact support if you cannot correct it.
Group changes, planning cutoffs, capacity, and matching schedules may limit edits or joining. Disabling vacation mode does not guarantee an immediate placement or automatically recreate a missed assignment. Members should not enter misleading dates or plans to manipulate attendance controls, matching eligibility, or trial decisions.
13. Member-hosted activities and meeting safely
Events are primarily created and hosted independently by community members. CoMinded may also organize events, but membership does not guarantee any CoMinded-hosted event. An activity organized by CoMinded will be identified as such. Unless CoMinded is expressly identified as the organizer, a listing or recommendation does not mean that we operate the venue, supervise the activity, verify the organizer, insure participants, or guarantee safety.
Members may list events that charge admission, but event admission payments are not accepted or processed through the CoMinded app. For an independently hosted event, any external payment agreement is between you and the identified organizer or seller. Before paying, check the organizer, total price, payment destination, cancellation conditions, and refund policy. Hosts must disclose any admission charge and material conditions clearly; they must not imply that CoMinded collects, protects, or guarantees the payment.
CoMinded is not the seller, payment processor, escrow provider, or guarantor of an independent host’s off-platform transaction, and does not undertake to reimburse a host’s failure to deliver or refund it. Direct payment and refund disputes to that organizer and, where appropriate, your payment provider. You may also report misleading listings or suspected fraud to CoMinded. These limitations do not exclude responsibility imposed on CoMinded by law or obligations CoMinded assumes as an organizer or contracting party in its own event.
CoMinded is not a party to a separate purchase, investment, employment arrangement, or service agreement you make with another member merely because you met through the app. Do your own diligence and do not treat membership or an event listing as an endorsement of a business offer.
Hosts must provide accurate details, have permission to use the venue and any images or branding, comply with applicable laws and venue requirements, and communicate material changes. Hosts are responsible for required permits, admission conditions, accessibility information they represent, capacity, and lawful handling of any separate payment they collect. Do not publish a person’s private address or contact details without authorization.
Use reasonable care when meeting people. Prefer an appropriate public venue, make your own travel arrangements, protect sensitive information, and leave an activity that feels unsafe. Do not pressure members into purchases, investments, alcohol use, or sharing personal information. Conduct rules apply to interactions arising from the Services, including at associated in-person activities.
Report concerning behavior through the app when safe to do so. CoMinded is not an emergency service and reports may not be reviewed immediately. Contact local emergency services if someone is in immediate danger. Participating involves ordinary real-world risks, but this notice is not a waiver of responsibility or legal rights that cannot lawfully be excluded.
14. Community standards and prohibited conduct
Treat members respectfully and use the Services for genuine community participation. These standards apply to profiles, posts, photos, comments, messages, event listings, reports, and related in-person interactions. Do not encourage or help another person violate them.
- Abuse, discrimination, and threats
- Do not threaten, stalk, harass, intimidate, bully, or target someone with hateful or discriminatory abuse. Do not promote violence or violent extremist activity, threaten to expose personal information, or retaliate against someone for declining contact or making a good-faith report.
- Sexual exploitation and child safety
- Do not post sexual exploitation material, child sexual abuse material, content that sexualizes minors, grooming, or trafficking content. Do not share nonconsensual intimate imagery, including manipulated or AI-generated imagery, or threaten to share it. Sexually explicit content and unwanted sexual solicitation are not appropriate for this professional community.
- Fraud, manipulation, and unwanted promotion
- Do not impersonate others, falsify credentials or income, operate scams or pyramid schemes, make deceptive financial claims, spam members, send unsolicited bulk promotions, or manipulate reactions, participation, reporting, trials, or matching. A networking invitation is not permission to add someone to an external marketing list.
- Privacy and intellectual property
- Do not disclose private information, confidential business material, private conversations, or images of others without a lawful basis and necessary permission. Do not post content that infringes copyrights, trademarks, trade secrets, or other rights. Honor contact boundaries and do not circumvent another member’s block through alternative accounts or other members.
- Platform integrity and unlawful activity
- Do not access accounts or data without authorization, distribute malware, defeat security or access controls, scrape or harvest member data, or use unauthorized automation that burdens or abuses the Services. Do not facilitate unlawful transactions or use the platform in violation of applicable law. These restrictions do not prohibit activity that applicable law expressly permits despite a contractual restriction.
15. Reporting, blocking, and enforcement
Use the available Report option or Account → Help to describe a concern and identify the account or content involved. Provide accurate information to the best of your knowledge. Do not knowingly submit false reports or abuse reporting to suppress legitimate participation. We may need relevant context to investigate and may contact you for clarification.
Blocking is intended to restrict interaction, visibility, and future matching between the affected accounts. It cannot retrieve screenshots or other copies, prevent all off-platform contact, or guarantee that a person cannot recognize you in an existing real-world group. Existing content or shared records may need separate review. Report a safety concern rather than relying on blocking alone.
The CoMinded team may remove content, restrict features, issue a warning, suspend an account, or terminate membership for a violation of these Terms. We also reserve discretion to decline or end membership for other lawful reasons, including eligibility, safety, community suitability, or operational reasons. This discretion must be exercised in good faith and consistently with applicable law, not for unlawful discrimination or retaliation for exercising a protected right.
Immediate action may be appropriate for urgent safety, security, or legal reasons. Otherwise, where reasonably practicable and legally permissible, we will give notice and explain the account action. You may request review by emailing [email protected], including when you cannot sign in. A team member will respond within 48 hours of receiving your request; a final investigation or appeal decision may take longer. We do not promise that every report results in removal or reinstatement.
When CoMinded permanently ends paid access, we will stop future membership renewals. Voluntary refunds relating to a removal are reviewed individually by the CoMinded team, subject to Section 11, any refund promise already applicable to your purchase, and mandatory legal rights. Removal does not itself forfeit a refund you are legally or contractually entitled to receive. Safety investigations and legally required records may remain after an account is closed.
16. Your content and the permission to operate the Services
You retain ownership of the content you create. Only submit content you have the right to share, and obtain necessary permissions from people whose information, likeness, or protected work appears in it. You are responsible for what you choose to publish, subject to the rights and responsibilities that applicable law assigns to each party.
You grant CoMinded a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute to the audience of the relevant feature, and process your submitted content only as reasonably necessary to provide, secure, maintain, and support the Services. This includes resizing an uploaded image, delivering a message to its conversation participants, and using service providers for those functions. Providers may receive the permissions necessary to perform those tasks on our behalf.
This is not an unrestricted license to sell your private messages, use your likeness in advertisements, or train unrelated AI models. Any separate marketing use or other use requiring additional permission must have its own authorization. Processing through an AI feature remains subject to the disclosures and any required permissions described below and in the Privacy Policy.
The license lasts while the content is needed for these service purposes, with limited continuation for retained records, backups, dispute resolution, and legal obligations as explained in the Privacy Policy. Deleting content does not necessarily remove copies held by recipients, content independently reshared by others, or records we must lawfully retain. Please do not publish information you are not prepared to share with the relevant audience.
17. CoMinded software, branding, and third-party rights
Subject to these Terms and applicable platform rules, you may use the Services for your own legitimate participation in the community. CoMinded and its licensors retain rights in the app, site design, software, branding, and other materials they provide, excluding member-owned content and third-party materials. Membership does not transfer those rights to you or authorize you to present yourself as our representative.
Do not copy or commercially redistribute protected platform materials, remove ownership notices, or use our branding in a way that suggests an unauthorized endorsement. Any rights granted by an applicable open-source license or mandatory law remain available. If you believe content infringes your rights, contact us with the work involved, the location of the disputed material, your contact information, and an explanation of your authority and concern. We may request additional information needed to evaluate the notice.
Send copyright or other intellectual-property complaints to [email protected]. Include enough detail to identify the protected work, disputed material and its location in the Services, and your authority to act for the rights holder. CoMinded has not registered a designated DMCA agent; this general support contact is not represented as a registered statutory agent. Good-faith complaints and responses will be handled according to applicable law. References to our branding do not claim that the brand is a registered trademark.
18. Privacy, communications, and AI-assisted features
Read the Privacy Policy for information about collection, visibility, service providers, retention, and available rights. Providing a profile is not permission for another member to scrape your information, resell it, or contact you outside the purposes for which you shared it. CoMinded messages are not represented as end-to-end encrypted, and content should not be treated as a secure repository for trade secrets, payment credentials, or other highly sensitive information.
The group planning helper may use OpenAI to interpret recent group-chat messages and identify a proposed place, date, and time. AI-assisted group descriptions may use relevant group and profile context. Messages supplied to these features can contain information typed by participants. Any separate consent required before sending personal information to an external AI provider must be obtained independently; acceptance of these Terms alone is not a substitute for that consent.
AI output can misunderstand a conversation, invent details, or select an incorrect date, venue, or timezone. Review the actual plan and coordinate with your group before relying on it. The helper is not a human organizer, safety reviewer, financial adviser, or guarantee that every participant agreed. Use the available planning controls or support process to correct errors.
Service communications may include invitation emails, security and billing notices, and updates about conversations or plans. Push notifications depend on device permissions, connectivity, and delivery providers and may be delayed or unavailable. Optional marketing communications require the choices or consent applicable to them; agreeing to these Terms does not give unrestricted marketing permission.
19. Third-party services and app distribution
The Services may link to external websites, member businesses, venues, maps, calendars, payment wallets, and other providers. Those parties control their own services and may apply separate terms and privacy policies. Follow an external link or enter a separate transaction only after reviewing information relevant to it. We do not guarantee a third party’s performance merely by making a link or integration available.
Apple and Google operate their own distribution platforms and device services. Installing an app requires compliance with the applicable store and operating-system rules. These service Terms do not claim that either platform endorses CoMinded, and do not replace an applicable app-store license. For an iOS app distributed without an approved custom end-user license agreement, Apple’s standard end-user license agreement applies as provided by Apple.
The membership purchase and management flow described here uses Stripe, rather than Apple or Google billing. If a store-billed purchase option is offered to you, follow the seller, price, management, cancellation, and refund instructions identified for that purchase. Applicable app-store and payment-provider terms also apply to their respective services.
20. Availability and reasonable limits on assurances
We aim to provide a useful, reliable community, but network failures, maintenance, device differences, provider outages, and software errors can interrupt access. Keep your app and supported operating system reasonably up to date. Do not rely on a message or notification as the only way to communicate a critical change or emergency.
To the extent permitted by applicable law, and subject to our express commitments, the Services are provided on an “as available” basis without a promise of uninterrupted or error-free operation or a particular networking, financial, or business outcome. Member advice is not professional advice from CoMinded. Obtain independent legal, tax, financial, or other qualified advice before making decisions that require it.
These qualifications do not exclude any guarantee, duty of reasonable care, security obligation, or remedy that the law does not permit us to exclude. They do not excuse misleading representations or failure to provide a paid service as required by applicable law.
21. Responsibility, liability, and disputes
Each party remains responsible for its conduct and obligations under applicable law. Losses arising from another member’s independent actions or a separate business deal are not automatically CoMinded’s responsibility solely because the participants met through the Services. Equally, these Terms do not excuse CoMinded from responsibility that the law assigns to it for its own conduct.
To the fullest extent permitted by applicable law, CoMinded LLC and its personnel will not be liable for indirect, incidental, special, or consequential losses, including indirect loss of profit, business opportunities, or anticipated savings arising from use of the Services, even if advised that such losses were possible. This exclusion does not remove a refund or other remedy expressly promised in these Terms. If a limitation is not permitted in your circumstances, it applies only to the extent the law allows.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or liability for fraud, intentional misconduct, gross negligence, or death or personal injury caused by our negligence. Mandatory consumer rights remain intact. These Terms do not impose a monetary liability cap, mandatory arbitration, a class-action waiver, or a shortened legal filing deadline.
Arizona law and applicable U.S. federal law govern these Terms to the extent permitted by law, without depriving you of mandatory protections that apply where you live. You may email [email protected] to seek an informal resolution, and a team member will respond within 48 hours. Contacting us is not a condition of exercising a legal right or contacting a regulator and does not automatically extend a legal filing deadline. Disputes may be brought in a court with jurisdiction; these Terms do not impose an exclusive venue or require you to give up a legally protected local forum.
22. Ending use and changes to these Terms
You may stop using the Services at any time. Manage an active subscription separately and contact us about account closure or deletion through the process described in the Privacy Policy. Leaving the community does not automatically delete records from other members’ devices or erase obligations already lawfully incurred. Content, privacy, payment, and dispute provisions continue only to the extent necessary for existing rights, retained records, or unresolved matters.
We may revise these Terms as the Services or legal requirements change. The published document will identify its version and effective date. Material changes must be communicated in an appropriate way, and renewed agreement must be obtained where required. Revisions do not retroactively authorize charges, expand past data consent, or remove an accrued right solely because this page changed.
If the business discontinues a paid service, affected memberships, advance payments, notice, and any required refunds must be addressed under applicable law. If part of these Terms is unenforceable, the remaining provisions continue only to the extent lawful; severability does not authorize replacing an unlawful term with a new obligation you never accepted. A failure to enforce a provision on one occasion is not a permanent waiver. These Terms do not create an employment, agency, partnership, or joint-venture relationship between members and CoMinded.
